Terms of Service

This Terms of Service agreement ("Agreement") is between ClearPath ("Provider," "we," "us") and the business or individual subscribing to our services ("Client," "you"). By creating an account or using any ClearPath product, you agree to these terms.
1. Services
ClearPath provides the following products (collectively, "the Service"):
- ClearPath OS — Operational intelligence platform for automotive repair shops, including KPI tracking, AI coaching, diagnostic engines, reporting tools, and recovery pipeline management.
- ClearPath Voice — AI-powered phone system including AI receptionist, missed call recovery, call recording, call analysis, and automated SMS follow-ups.
- ClearPath Experience — Real-time display system for shop TVs including lobby, counter, floor, and owner office screens.
Not all products may be included in your subscription. Your selected products are confirmed during onboarding and shown on your billing statement.
2. Subscription & Payment
- Subscriptions are billed monthly via Stripe on the same date each month.
- Pricing is determined by your selected products and plan tier at the time of signup. Current pricing is available at clearpathos.com/pricing.
- ClearPath Voice is billed per shop location.
- ClearPath Experience is billed per location. Hardware setup fees (if applicable) are one-time charges.
- Failed payments will result in a 7-day grace period. After 7 days, ClearPath may suspend access to the Service. Continued non-payment beyond 30 days may result in account termination and data deletion per our retention policy.
- We reserve the right to change pricing with 30 days written notice. Existing subscribers will be notified by email before any price change takes effect.
3. Term & Cancellation
- The initial term is twelve (12) months from the date of activation.
- After the initial term, the Agreement renews month-to-month.
- Either party may cancel after the initial term with 30 days written notice.
- Early cancellation during the initial term is subject to a cancellation fee equal to the remaining months on the agreement.
- Upon cancellation, access to the Service ends at the close of the current billing period.
- For ClearPath Voice customers with ported phone numbers: we will facilitate porting your number to your new provider upon cancellation. This process typically takes 5-10 business days.
- Termination by ClearPath: ClearPath reserves the right to suspend or terminate accounts immediately for misuse, abuse, violation of these terms, fraudulent activity, or any conduct that threatens the security or integrity of the Service or other customers' data.
4. Data Ownership & Usage
- Your data is yours. All business data, customer records, financial information, and operational data remain the property of the Client at all times.
- ClearPath accesses shop management system data (Tekmetric, Shop-Ware, etc.) solely for the purpose of providing the Service.
- Data is stored securely in cloud infrastructure with row-level security and tenant isolation. Each shop's data is logically separated from all other shops.
- ClearPath will never sell, share, license, or otherwise distribute Client data to third parties for any purpose other than providing the Service.
- No AI training on your data. Shop management system API data is used for analytics, coaching, and operational intelligence only. Your data is never used to train, fine-tune, or improve machine learning models.
- AI coaching features use your aggregated KPIs as context for real-time reasoning — this is not model training. No data is retained by AI providers after the reasoning session ends.
- Data accuracy: ClearPath relies on third-party data sources (including Tekmetric, Shop-Ware, and others). We do not guarantee the accuracy, completeness, or timeliness of data originating from these systems. You are responsible for verifying the accuracy of your source data.
- Upon termination, you may request a full export of your data. We will provide it in a standard format (CSV or JSON) within 30 days of the request.
5. ClearPath Voice — Phone & Call Recording
The following terms apply specifically to ClearPath Voice subscribers:
- Call recording disclosure: All inbound calls handled by the ClearPath Voice AI receptionist are recorded for quality assurance, coaching, and service improvement purposes. The AI receptionist announces that the call may be recorded at the beginning of each call.
- Consent: By continuing the call after the recording disclosure, the caller consents to recording. In all-party consent states, the AI receptionist provides explicit notification.
- Call data: Transcripts, recordings, and AI analysis are stored securely and accessible only to authorized users within your shop account.
- SMS communications: ClearPath sends text messages on behalf of subscribing shops to their customers for service-related purposes including appointment reminders, service follow-ups, declined work reminders, review requests, vehicle-ready notifications, and missed call recovery. Messages are sent from the shop's designated phone number and identify the shop by name. Customers provide consent to receive these messages when they provide their phone number during the vehicle intake process at the shop. Message frequency varies based on service activity (typically 1-4 messages per visit). Message and data rates may apply. Customers may opt out at any time by replying STOP. For help, reply HELP. - Phone number porting: If you port your existing business phone number to ClearPath Voice, we become the carrier of record for that number. Upon cancellation, we will facilitate porting the number to your chosen provider at no additional charge.
- ClearPath is not a replacement for 911 emergency services. The AI receptionist will attempt to transfer emergency calls to a live person or direct the caller to call 911.
6. ClearPath Experience — Display Screens
The following terms apply specifically to ClearPath Experience subscribers:
- ClearPath Experience displays data from your ClearPath OS account. Display accuracy depends on the accuracy of your underlying data.
- BYO Screen: You are responsible for providing and maintaining the display device and internet connection. ClearPath provides the display URL and software only.
- Hardware option: Pre-configured devices remain the property of ClearPath during the subscription term. The Client is responsible for loss, damage, theft, or failure to return hardware. Upon cancellation, devices must be returned within 30 days or a $99 replacement fee per device applies.
- Display content is designed for internal shop use. Customer-facing displays (lobby) should not show confidential business data.
7. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of any ClearPath software.
- Share, resell, or sublicense your account access to third parties.
- Use the Service to store or transmit malicious code, illegal content, or data you do not have the right to use.
- Attempt to access data belonging to other ClearPath customers.
- Use ClearPath Voice to make automated robocalls, send spam SMS, or violate TCPA or other telecommunications regulations.
- Exceed documented API rate limits or use automated tools to extract bulk data from the Service.
8. Service Level & Disclaimers
- ClearPath OS is provided "as is" as an operational intelligence tool.
- ClearPath is NOT an accounting service. All financial figures, KPIs, and projections should be verified by your accountant. Do not make tax, payroll, or financial compliance decisions based solely on ClearPath data.
- AI outputs are informational only and should not be considered financial, legal, or operational advice. AI coaching recommendations are generated from the data you provide and industry benchmarks. They are decision-support tools, not directives. You are solely responsible for all business decisions.
- ClearPath is not responsible for the accuracy of data from third-party integrations (Tekmetric, Shop-Ware, etc.). Data quality depends on your source systems.
- KPI targets and benchmarks are industry guidelines, not guarantees of performance.
- The Client and their staff are solely responsible for executing operational changes.
- ClearPath Voice AI is not a substitute for a trained receptionist in all situations. Complex customer interactions may require human follow-up.
- The Service is provided "as is" without guarantees of uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance when possible.
- No warranty. ClearPath makes no warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
9. Third-Party Integrations
- ClearPath integrates with third-party services including Tekmetric, Shop-Ware, Twilio, Retell AI, Stripe, Google Business Profile, and others.
- ClearPath is not responsible for outages, API changes, data inaccuracies, or service disruptions originating from these third-party providers.
- Your use of connected third-party services is subject to those providers' own terms of service.
- If a third-party provider changes their API or terms in a way that affects our ability to provide the Service, we will make reasonable efforts to adapt or find alternatives, and will communicate any impact to affected customers.
10. Limitation of Liability
- ClearPath provides decision-support tools and coaching recommendations. We are not liable for business decisions made based on the Service's recommendations, data, or analysis.
- In no event shall ClearPath's total liability exceed the fees paid by the Client in the twelve (12) months preceding the claim.
- ClearPath is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.
- ClearPath is not liable for damages arising from third-party service outages, data inaccuracies from integrated systems, or the Client's failure to verify data accuracy.
11. Indemnification
You agree to indemnify, defend, and hold harmless ClearPath, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these terms, or your violation of any applicable law or regulation.
12. Intellectual Property
All software, algorithms, analytics models, operational frameworks, scoring systems, tier calculations, and coaching methodologies within ClearPath remain the exclusive property of the Provider. The Client receives a limited, non-exclusive, non-transferable license to use the Service for the duration of their subscription. This license does not grant ownership of any ClearPath intellectual property.
13. Account Security
- You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your account.
- You must notify ClearPath immediately of any unauthorized access to your account.
- ClearPath is not responsible for unauthorized access resulting from compromised credentials on your end.
- We implement industry-standard security measures including encryption in transit and at rest, row-level security, and secure credential storage.
14. Modifications
ClearPath reserves the right to update features, functionality, and these terms. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after notification constitutes acceptance of the updated terms. If you do not agree to updated terms, you may cancel your subscription.
15. Force Majeure
ClearPath is not liable for any failure or delay in performing obligations under this Agreement caused by events beyond our reasonable control, including but not limited to: outages from third-party providers (Tekmetric, Twilio, Retell, Supabase, AWS), internet disruptions, natural disasters, government actions, cyberattacks, pandemics, or acts of God.
16. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to conflict of law principles. Any disputes arising from this Agreement shall be resolved through binding arbitration in the State of New Hampshire.
17. Entire Agreement
This Agreement, together with the Privacy Policy and any product-specific addenda, constitutes the entire agreement between the parties and supersedes all prior agreements, representations, and understandings.
